These Terms of Service ("Terms") govern your access to and use of Prezaid's services, including but not limited to automated webinar software, AI-driven marketing tools, customer engagement platforms, and any related software, applications, content, and features provided by Prezaid (collectively, the "Services"). By purchasing or using the Services, you agree to be bound by these Terms. No agency, partnership, or joint venture has been created between you and the Company as a result of this Agreement. You do not have any authority of any kind to bind the Company in any respect whatsoever.
1. ACCEPTANCE OF TERMS
By accessing, executing a payment, or using the Services, you represent and warrant that you agree to be bound by the terms and conditions of service on behalf of yourself or the entity or organization that you represent. If you do not agree to the terms and conditions of this Agreement, you may not use or access the Services.
To use any of our services you certify that:
- You are at least 18 years old;
- You have the legal capacity to enter into these Terms;
- A resident of the United States or a legal resident of another country;
- Are not a competitor of Prezaid using the Services for competitive purposes;
- Have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of yourself or an entity, you represent that you are authorized to bind that entity to these Terms.
You shall not assign or delegate any of your rights or obligations under this Agreement without the prior written consent of the Company, except in the case of a merger, acquisition, or sale of substantially all of your assets to a successor entity that agrees in writing to be bound by the terms of this Agreement.
2. SERVICE TERM & AUTO-RENEWAL
All subscriptions are for a 12-month minimum term and will automatically renew unless written notice of cancellation is provided at least 60 days prior to the renewal date. If you cancel early, you are responsible for payment of the remaining contract amount.
3. MODIFICATION OF TERMS & PRICING
We reserve the right to revise these Terms and adjust pricing with a minimum of 60 days’ notice. We may increase subscription pricing annually by up to 4%. Continued use of the Services after such notice constitutes your agreement to the updated terms.
Except for changes made for legal or administrative purposes, the Company will provide reasonable advance notice before the changes become effective. All changes will apply to your use of and access to the Services from the date the changes become effective and onwards. For new users, the changes will be effective immediately.
Your continued use of or access to the Services following any changes to this Agreement shall constitute your acknowledgment of such changes and agreement to be bound by the terms and conditions of such changes. You should check this page frequently so that you are aware of any changes since they are binding on you.
The Services may change from time to time as the Company evolves, refines, or adds more features to the Services. The Company reserves the right to modify, withdraw, or discontinue the Services, in whole or in part, at any time without notice to you. You agree that the Company shall have no liability
to you or any third party for any losses or damages caused by the Services not being available, in whole or in part, at any time or for any period.
4. ACCOUNT CREATION AND RESPONSIBILITIES
You may need to create an account to access certain Services. If you connect to any Services with a third-party service, you grant us permission to access and use your information from such service as permitted by that service to store your login credentials for that service. All information that you provide will be governed by our Privacy Policy.
You agree to:
- Provide accurate, current, and complete information;
- Maintain the confidentiality of your account credentials you agree not to provide any other person with access to the Services or any portions of it using your username, password, or other security information.;
- Notify us immediately of any unauthorized access;
- Accept responsibility for all activities that occur under your account.
- You may not transfer your account to anyone else without our prior written permission.
The Company will not be liable for any losses or damages arising from your failure to comply with the above requirements.
You will be held liable for losses or damages incurred by the Company or any third party due to someone else using your account or password.
We may suspend or terminate your account at our discretion for violations of these Terms.
5. ACCEPTABLE USE POLICY
You agree not to:
- Use the Services for unlawful (including intellectual property laws and right to privacy laws), harmful, or fraudulent activities;
- Send any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of unsolicited communications, whether commercial or otherwise. (c) No Impersonation;
- Exploit or harm minors in any way, including exposing inappropriate content or obtaining personally identifiable information;
- Interfere with system integrity or security;
- Circumvent access restrictions;
- Upload malicious code;
- Impersonate others or misrepresent your affiliation;
- Reverse engineer or copy the Services.
- Copy, monitor, distribute, or disclose any part of the Services by automated or manual processes, devices, or means.
- Copy other user’s data.
- The Company is based in the United States. The Services are for use by persons located in the United States. By choosing to access the Services from any location other than the United States, you accept full responsibility for compliance with all local laws.
Violation may result in immediate suspension or termination of your account.
6. SUBSCRIPTION & PAYMENT TERMS
A. Plans: Certain Services require a paid subscription. Plans are listed on our website or as otherwise communicated and pricing will be provided separately during the buying process.
B. Billing: Subscriptions auto-renew. Charges will be made to your selected payment method. Failure to pay may result in account suspension. All subscriptions begin on the day the payment was received by the Company. Your form of payment will be automatically directly debited on a monthly basis. You will remain liable for the remainder until payment is received in full.
C. Non-Refundable: All payments are final and non-refundable unless otherwise stated by law.
D. Late Payments: Past due accounts may be subject to collection efforts. We reserve the right to collect up to 90% of the minimum due and pursue legal action.
E. Information related to accepted payment methods are made available during the purchasing process. Some payment methods may only be available subject to additional conditions or fees.
F. Payment Disputes: By subscribing to the Services, you agree to resolve any billing concerns directly with the Company before initiating a dispute or chargeback with your payment provider. If you believe a charge was made in error, you must notify the Company in writing within 14 days of the transaction, and the Company will make reasonable efforts to resolve the issue. Unauthorized chargebacks or disputes that violate this policy may result in the customer being responsible for all legal fees incurred by the Company, including, but not limited to, court fees and attorney fees. However, this provision does not waive any rights you may have under applicable consumer protection laws.
7. ADVERTISING SERVICES
Any advertisements, creative services, or paid media used alongside the Services are not included in the subscription and are billed separately. You are solely responsible for those costs.
8. INTELLECTUAL PROPERTY
All technology, patents, content, and trademarks provided by Prezaid remain the sole property of Prezaid. You are granted a limited, non-transferable, non-sublicensable, and revocable license to use the Services for business purposes only.
You may not:
- Modify, distribute, create derivative works, or reverse engineer any part of the Services;
- Use our content for competitive products, services, or content;
- You shall not copy, reproduce, publish, display, perform, post, transmit, or distribute any part of the Content in any form or by any means except as expressly permitted herein or as enabled by a feature, product, or the Services when provided to you.;
- Remove copyright or proprietary notices.
- You shall not use any information retrieval system to create, compile, directly or indirectly, a database, compilation, collection or directory of the Content or other data from the Services.
9. USER CONTENT & FEEDBACK
You retain ownership of content submitted through the Services but grant Prezaid a non-exclusive license to use such content to operate, improve, or promote the Services. You waive any moral rights in submitted content and agree not to submit unlawful or infringing material. You are solely responsible for your content and what you use our systems to distribute.
You shall not use any information retrieval system to create, compile, directly or indirectly, a database, compilation, collection or directory of the Content or other data from the Services.You further agree that the Company shall not be responsible for any loss or damage incurred as the result of any interactions between you and other users. Your interactions with other users are solely between you and such users.
Any feedback provided becomes the sole property of Prezaid.
10. CLIENT DATA & MARKETING
By using the Services, you grant Prezaid a royalty-free license to use your name, logo, and general usage data (not confidential information) for marketing purposes. You may opt-out of promotional use by emailing support@prezaid.com.
We retain the right to market to you via electronic communication. Both you and Prezaid retain the right to use and market to contact data generated by the Service.
11. DATA SECURITY & THIRD-PARTY SERVICES
Prezaid partners with third-party vendors who meet high standards, but we are not responsible for data breaches or unauthorized access through those platforms. Use of third-party services is at your own risk.
12. TERMINATION
You may cancel your subscription at the end of the term. Early cancellation requires full payment for the remainder of the term. Prezaid may suspend or terminate accounts for violation of these Terms with or without notice. The provisions of these Terms of Service shall survive the termination and will remain in effect.
The Company may suspend or terminate your access or rights to use the Services at any time, for any reason, in our sole discretion, including for any breach of the terms of this Agreement. The Company will grant the client a 60 day notice for termination of access, unless the reason for termination is due to a breach of any of the terms of this Agreement.
13. WARRANTY DISCLAIMER
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PREZAID MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
14. LIMITATION OF LIABILITY
Prezaid, its affiliates, respective licensors, service providers, affiliates, employees, agents, officers, or directors liability is limited to the amount paid by you in the 6 months preceding any claim. We are not liable for:
- Indirect, incidental, or consequential damages;
- Loss of data, revenue, or profits;
- Service interruptions beyond our control.
- Any third party damages for any reason.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES MUST BE COMMENCED WITHIN THREE 3 MONTHS AFTER THE CAUSE OF ACTION AROSE; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS
PERMANENTLY WAIVED AND BARRED.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents (collectively, the “Indemnified Party”) from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:
- Your breach of these Terms;
- Your use of the Services;
- Your violation of any law or third-party rights.
16. GOVERNING LAW & DISPUTES
These Terms are governed by the laws of the State of Florida, and any disputes shall be brought in the courts of Orange County, Florida. At Prezaid’s discretion, disputes may also be resolved by binding arbitration. You waive the right to participate in class actions or jury trials.
17. FORCE MAJEURE
We are not responsible for delays or failure to perform due to causes beyond our control, including but not limited to natural disasters, war, labor disputes, utility failures, or internet disruptions.
18. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.
19. ENTIRE AGREEMENT
These Terms, along with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Prezaid and supersede all prior agreements.

Information obtained through these means that relates to the user’s client or customer to be invoiced through Prezaid may at times be referred to as “Third-Party Client Information” throughout this Privacy Policy.
This AI platform collects limited personal data necessary to provide its services, including user input and interaction data, which is used solely to improve the AI model and personalize responses. We do not sell or share your personal information with third parties without your consent, except as required by law. You have the right to access and request deletion of your data associated with your account. Additional information from or about you may also be collected in other ways, including responses to customer surveys and any communications with our customer service team.

Prezaid may use certain information about you without identifying you as an individual to third parties. We do this for purposes such as analyzing how the Service is used, diagnosing service or technical problems, maintaining security, and personalizing content.
Anonymized information may be used or sold for targeted advertising, research, and participation in various activities for the sole purpose of advancing Projet Aidra’s Mission and service delivery as a leader in the built environment. Information may include but are not limited to Industry Types, Organization Size, Generalized business location , number of employees, etc.
Research and Analytics: We may use your information for research and analytics purposes, to understand how users interact with the Services, and to improve our offerings.
Legal Compliance: We may use your information to comply with applicable laws and regulations.
Protecting Personal Information
Information that can be used to identify a person is “Personally Identifiable Information”. This does not include information that has been aggregated or made anonymous. All information is securely stored on our servers. We employ the highest in industry standards to protect Personally Identifiable Information, as well as any information provided relating to your invoiced customers.
Third-party client and customer information, provided to Prezaid by users, shall be considered confidential and shall not be disclosed to any third party, unless required to do so by law or subpoena or if we believe that such action is necessary to conform to the law, or comply with legal process served on us. Such information shall be utilized only for the purpose for which Prezaid was created, which is to facilitate the billing and collection process for electronic billing of customers and clients.
Although Prezaid utilizes the highest reasonable levels of data security in the industry, we cannot guarantee the security of PII or other information provided to us. By using our Website, you acknowledge and agree that we make no such guarantee, and that you use our Website at your own risk.
Sharing Personal Information
Prezaid will not rent or sell your Personal Information to others.
